1. General

These Terms & Conditions ("Terms") govern your use of zebratiling.com (the "Site"), operated by Yueqing Zebra Tools Co., Ltd. ("ZEBRA TOOLS," "we," "our," or "us"), a company registered in Zhejiang, China. By accessing or using the Site, submitting an inquiry, or placing an order, you agree to be bound by these Terms.

These Terms apply to all B2B wholesale transactions, OEM/ODM agreements, and sample requests processed through the Site.

2. B2B Scope

This Site is intended exclusively for business-to-business (B2B) wholesale trade. All products listed are sold in wholesale quantities with minimum order quantities (MOQ) as specified on individual product pages. We do not sell directly to consumers or process retail orders through this Site.

3. Quotations & Pricing

All prices displayed or quoted are in US Dollars (USD) unless otherwise stated. Quotations provided via our inquiry form are valid for 15 calendar days from the date of issue. Prices are subject to change based on order volume, customization requirements, raw material costs, and shipping destination.

For OEM/ODM orders, final pricing includes tooling, mold costs (where applicable), and per-unit production costs as specified in the formal proforma invoice.

4. Orders & Payment

• Order Confirmation: All orders are confirmed via a proforma invoice (PI) issued by our sales team. No order is binding until the PI is accepted and the initial payment is received.
• Payment Terms: Standard terms are 30% T/T deposit upon order confirmation, 70% balance before shipment (or against copy of shipping documents). Alternative terms may be negotiated for established buyers.
• Payment Methods: We accept T/T (Telegraphic Transfer) and L/C (Letter of Credit) at sight for qualifying orders. Trade Assurance is available for Alibaba transactions.
• Cancellation: Orders may be cancelled within 48 hours of PI acceptance without penalty. Cancellations after production has commenced are subject to a restocking fee of up to 30% of the order value.

5. OEM/ODM & Custom Orders

Custom manufacturing (OEM/ODM) orders are governed by a separate OEM Agreement that specifies: product specifications, color matching (Pantone), packaging design, mold ownership, intellectual property rights, and minimum order quantities. The OEM Agreement takes precedence over these general Terms for custom orders.

6. Shipping & Delivery

• Lead Time: Standard inventory items: 3-7 business days. OEM/custom color orders: 10-15 business days. Custom mold orders: 15-25 business days. Lead times are estimates and commence upon receipt of deposit payment and confirmation of all specifications.
• Shipping Methods: Sea freight (FCL/LCL), air freight, or express courier (DHL/FedEx/UPS) as agreed in the proforma invoice.
• Incoterms: Unless otherwise stated, all shipments are FOB Ningbo/Shanghai. The buyer is responsible for freight, insurance, customs clearance, duties, and taxes at the destination country.
• Inspection: Buyers have the right to arrange pre-shipment inspection at our factory. Inspection must be completed within 3 business days of notification that goods are ready.

7. Quality & Warranty

All products are manufactured under our TÜV Rheinland certified quality management system. We warrant that goods will conform to the specifications agreed in the proforma invoice or OEM Agreement at the time of shipment.

Warranty Claims: Any quality discrepancy must be reported in writing within 14 calendar days of receipt of goods, supported by photographic evidence. Valid claims will be resolved through replacement goods or credit against the next order, at our discretion.

8. Intellectual Property

All content on this Site — including text, images, product descriptions, logos, and trademarks — is the property of Yueqing Zebra Tools Co., Ltd. and is protected by applicable intellectual property laws. For OEM/ODM orders, the buyer retains ownership of their brand assets (logos, packaging designs) provided to us for manufacturing purposes.

9. Limitation of Liability

To the fullest extent permitted by law, Yueqing Zebra Tools Co., Ltd. shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Site or products. Our total liability for any claim shall not exceed the invoice value of the specific order giving rise to the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Zhejiang Province, China. For international buyers, we encourage amicable resolution through direct negotiation before pursuing legal remedies.
